MYJUNO END USER LICENCE AGREEMENT (EULA)

This End User Licence Agreement (“Agreement”) is a legally binding agreement between you (“Customer”, “you”) and CEH Technologies limited (“MyJuno”, “we”, “us”, “our”) governing your access to and use of the MyJuno platform, including MyJuno Pro, software, applications, APIs, websites, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by this Agreement.

1. Licence Grant

Subject to your compliance with this Agreement and any applicable subscription terms, MyJuno grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services solely for your internal business purposes during the term of your subscription.

No rights are granted except as expressly stated in this Agreement.

2. Restrictions on Use

You shall not, and shall not permit any third party to:

a. Copy, modify, translate, adapt, or create derivative works of the Services;
b. Reverse engineer, decompile, disassemble, or attempt to discover the source code, models, or underlying structure of the Services;
c. Sell, resell, sublicense, rent, lease, distribute, or otherwise make the Services available to any third party without MyJuno’s prior written consent;
d. Use the Services to build or support a competing product or service;
e. Remove, obscure, or alter any proprietary notices or branding;
f. Use the Services in violation of any applicable laws or regulations.

3. Intellectual Property Rights

All intellectual property rights in and to the Services, including but not limited to software, algorithms, AI models, translations systems, interfaces, trademarks, and documentation, are and shall remain the exclusive property of CEH TECHNOLOGIES LIMITED o or its licensors.

This Agreement does not transfer any ownership rights to you.

4. Customer Content and Data

You retain ownership of all content, data, text, audio, or materials submitted to the Services (“Customer Content”).

By using the Services, you grant MyJuno a limited, non-exclusive licence to process, store, and use Customer Content solely to provide, maintain, and improve the Services, in accordance with our Privacy Policy.

MyJuno does not claim ownership over your Customer Content.

5. AI and Translation Disclaimer

The Services use automated and AI-based translation technologies. While MyJuno aims for high accuracy, translations may contain errors or inaccuracies.

You acknowledge that:

The Services are provided as a support tool and not as a substitute for certified human translation where required.
MyJuno is not responsible for decisions made based on translated content.

6. Confidentiality

Each party agrees to protect the other party’s confidential information and not to disclose it to third parties except as required by law or as necessary to perform under this Agreement.

7. Data Protection and Privacy

MyJuno processes personal data in accordance with applicable data protection laws and its Privacy Policy, which forms part of this Agreement.

Where required, the parties may enter into a separate Data Processing Agreement (DPA).

8. Suspension and Termination

MyJuno may suspend or terminate your access to the Services if you:

Breach this Agreement;
Use the Services unlawfully;
Fail to pay applicable fees.

Upon termination, all licences granted under this Agreement shall immediately cease.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available”.

To the maximum extent permitted by law, MyJuno disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law:

MyJuno shall not be liable for indirect, incidental, consequential, or special damages.
MyJuno’s total liability under this Agreement shall not exceed the fees paid by you to MyJuno in the 12 months preceding the claim.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales without regard to conflict of law principles.

12. Changes to This Agreement

MyJuno may update this Agreement from time to time. Continued use of the Services after changes become effective constitutes acceptance of the revised Agreement.
